These terms govern the supply of products and services by Apex-Meta to you. They apply alongside the written quotation or statement of work for your engagement. Where a signed contract says something different, that contract takes precedence over these terms.

1. About us

Apex-Meta is an information technology company registered and operating in Ghana, at H/No M07/1, Banana Lane, Accra. You can reach us at hello@apex-meta.com or +233 (0) 558 456 251.

2. What we supply

IT products and hardware procurement, including selection, sourcing and configuration.
IT infrastructure management and maintenance.
Microsoft 365 adoption, configuration and license management.
Website design, build and search engine optimisation.
Custom software development and process automation.
Obali, our own point of sale platform for shops and restaurants, supplied on subscription.

3. Quotations and how an agreement forms

Nothing on this website is an offer to sell at a stated price. We give you a written quotation setting out the scope, the deliverables, the price and the timeline. A quotation is valid for 30 days from its date. An agreement forms when you accept the quotation in writing, which includes email. Until then neither side is committed and nothing is billed.

4. Fees and payment

Currency. We bill in Ghana cedis unless the quotation states otherwise. Where a supplier prices in another currency, the quotation shows the rate we applied.

Deposits. Hardware orders and project work require a 50 percent deposit before we begin, with the balance due on delivery or handover.

Retainers and subscriptions. Billed in advance for each period, monthly or annually as agreed.

Invoice terms. Invoices are due within 14 days of issue. We may suspend services on accounts more than 30 days overdue, after giving you written notice and a chance to settle.

Taxes. Prices exclude VAT, NHIL and GETFund levies unless stated. Applicable taxes are shown separately on the invoice.

Payment methods. Bank transfer, mobile money and card. Card and mobile money payments are handled by Paystack, a licensed payment service provider, and are subject to Paystack's own terms. We do not see or store your full card details.

5. Hardware supply

Title to equipment passes to you when we receive payment in full. Risk passes on delivery to the address on the order. Delivery dates on a quotation are good faith estimates: where an imported item is delayed by a supplier or by customs, we tell you as soon as we know and give you a revised date. Equipment carries the manufacturer warranty for its stated period, and we will pursue warranty claims with the manufacturer or distributor on your behalf at no extra charge.

6. Software and third party licences

Microsoft 365 and other third party software we resell or configure for you are governed by the licensor's own terms, which you accept when the licence is provisioned. We are not the licensor and cannot vary those terms. Where a licensor changes its pricing, we pass the change on at cost and give you notice before your next renewal.

7. Your responsibilities

Give us accurate information and timely access to the systems and people the work requires.
Nominate someone with authority to approve scope and sign off deliverables.
Keep your own backups of business data unless a backup service forms part of your agreement.
Use the products and services lawfully, and not in a way that harms our systems or other clients.

Where a delay is caused by information or access we asked for and did not get, timelines move accordingly.

8. Changes to scope

If you want something outside the agreed scope, we will quote for it separately in writing before doing the work. We do not bill for work you have not approved.

9. Intellectual property

Custom software and website work we build specifically for you becomes yours once you have paid for it in full. We keep ownership of our pre-existing tools, libraries, frameworks and know-how, and of the Obali platform, and we grant you the licence you need to use the deliverable for your business. You keep ownership of everything you give us, including your content, logos and data.

10. Confidentiality

Each side keeps the other's confidential information in confidence and uses it only to perform the agreement. The obligation survives the end of the engagement. It does not cover information that is already public, that you or we knew independently, or that we are legally required to disclose.

11. Warranties and what we do not promise

We will perform our services with reasonable skill and care, using suitably qualified people. We will re-perform defective work at no charge where you tell us within 30 days of delivery.

We do not warrant that software will be free of every defect, that a website will achieve a particular search ranking, or that infrastructure will never suffer an outage. Third party products carry only the warranty their manufacturer or licensor gives.

12. Liability

Neither side excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, our total liability arising out of an engagement is limited to the total fees you paid us for that engagement in the 12 months before the claim. We are not liable for loss of profit, loss of revenue, loss of anticipated savings, or loss of data where you had the means to keep a backup and did not.

13. Suspension and termination

Either side may end a recurring service by giving 30 days written notice before the next renewal date. Either side may terminate immediately if the other commits a material breach and fails to fix it within 14 days of being told about it in writing. On termination you pay for work properly done up to that date, and we hand over your data and deliverables in a usable format.

14. Refunds

Refunds are governed by our refund policy, which forms part of these terms.

15. Events outside our control

Neither side is in breach for a delay caused by something genuinely outside its control, such as a power or network failure, an import restriction, a natural event or a change in the law. Where such an event lasts more than 60 days, either side may end the affected part of the agreement without penalty.

16. Data protection

We handle personal data as described in our privacy policy and in line with the Data Protection Act, 2012 (Act 843).

17. Governing law

These terms are governed by the laws of the Republic of Ghana. We will try in good faith to resolve any dispute by discussion first. Failing that, the courts of Accra have jurisdiction.

18. Changes to these terms

We may update these terms from time to time. The version that applies to your engagement is the one in force when you accepted the quotation. For recurring services, we give 30 days notice of a change before it takes effect at your next renewal.
